Terms of Service

These Terms govern your use of Derplins ("the Service"). By creating an account you agree to them.

1. The marketplace

Derplins is a marketplace connecting buyers (who post tasks) and prompters (who deliver AI-mediated work inside the buyer's environment). We are not a party to the contract between buyer and prompter; we provide the infrastructure, escrow, and dispute resolution.

2. Accounts

You must be 18+ and provide accurate information. You're responsible for activity on your account. Notify us of any unauthorized use.

3. Buyer obligations

• Define clear acceptance criteria when ordering.
• Fund escrow at order placement; payment is held until acceptance or auto-release.
• Review deliveries within 3 days of submission. Inaction triggers automatic acceptance.
• Hand over one environment for the order and grant it by invitation, never by sharing a credential (section 5). Don't expand scope mid-order without notice.

4. Prompter obligations

• Operate within the environment named on the order and nothing beyond it (section 5).
• Keep deliverables original and free of infringement.
• Disclose AI usage; the buyer is paying for human-supervised AI work.
• Maintain the response time, on-time, and cancel-rate metrics required by your level.

5. The environment the work happens in

Every order names one environment: an Orquesta project, a code repository, a seat in a tool the buyer pays for, or nothing at all when the prompter works on their own setup. It is chosen by the buyer, it exists for that order, and it ends when the order closes.

• Invite, never share.Access is granted by adding the prompter as a member, collaborator, or seat under their own identity. Sharing a password, a session, or a personal API key is a breach of these Terms by both sides: it usually breaks the third party's own terms, it cannot be revoked without rotating the credential, and it destroys any way of telling the two people's work apart.
• Only what the job needs. The prompter works within the environment named on the order and nowhere else. Access to one project is not access to the account that owns it.
• It ends with the order.When an order completes or is cancelled, Derplins removes the access it granted itself. Where we could not grant it — a repository collaborator, a seat inside someone else's tool — we tell the buyer what to remove and record whether they confirmed doing so. Removing it remains the buyer's responsibility, and we can only ever record their word for it.
• A dispute freezes it. While a dispute is open the environment is held as it is rather than torn down, because the record of what was done inside it is what the dispute is read from.

Work produced inside the buyer's environment on a completed order belongs to the buyer. The prompter keeps no copy, no continuing access, and no right to reuse the buyer's code or data. If an order is cancelled before completion, access ends the same way and neither side gains rights to the other's material.

What Derplins can prove differs by environment, and we say which before the buyer commits. Prompts run through Orquesta are counted by us. Work in a repository is visible to both sides but counted by us only if the prompter connects their local runs to an Orquesta project. Work inside a third party's tool is visible only to whoever holds that account: in a dispute over that work, we have nothing of our own to read, and it is billed for time rather than per prompt for exactly that reason.

6. Fees

Derplins deducts a 15% service fee from prompter earnings on completed orders. Buyers pay a 4.5% service fee plus payment processing pass-through. Fees may change with 30 days' notice.

7. Payouts

Prompter payouts are processed via Stripe Connect for card orders and via Notlogin (USDC) for crypto orders; each order pays out on the rail that funded it, so you may need to connect both. Clearance windows depend on prompter level (1–14 days). Tax reporting is the prompter's responsibility.

8. Disputes

Disputes go through the Resolution Center. Either side can open one, and the two of you agree on the outcome: a full refund to the buyer, releasing the money to the prompter, or cancelling by mutual agreement. Resolution decisions reference the order record — its deliveries, messages, and requirements.

9. Prohibited use

• Off-scope access, exfiltration of buyer data, or use of credentials beyond the order.
• Circumventing the marketplace to avoid fees.
• Fraud, illegal content, harassment, or violations of third-party rights.

10. Termination

We may suspend or terminate accounts for breach. You can close your account anytime; obligations on outstanding orders survive.

11. Disclaimers + liability

The Service is provided "as is". Our liability is limited to fees you paid in the last 12 months. We are not liable for buyer/prompter disputes beyond facilitating resolution.

12. Governing law

These Terms are governed by California law. Disputes go to arbitration per AAA rules.
